Welcome to Spartan Blackout Services. By accessing or using our client portal and services, you agree to be bound by these Terms & Conditions. Please read them carefully. If you do not agree, you may not use our services.

1. Services

Spartan Blackout Services provides graphic design, web development, branding, marketing, and maintenance services. The specific scope, deliverables, and pricing of any engagement are governed by the applicable proposal, contract, or invoice agreed between you and us.

2. Accounts

To access certain features, you must register for an account. You agree to provide accurate and complete information, to keep your credentials confidential, and to be responsible for all activity under your account. You must be at least 18 years old to create an account.

3. Client Content & Materials

You are responsible for ensuring you have the right to provide any content, logos, text, or materials you submit to us. You grant us a limited license to use such materials solely for the purpose of delivering the agreed services. We are not liable for any infringement arising from materials you provide.

4. Payment Terms

Invoices are payable according to the terms stated on each invoice (e.g., due on receipt, Net 15, Net 30). Late payments may accrue interest and/or result in suspension of services. Unless otherwise stated, all delivered work remains our property until paid for in full.

5. Intellectual Property

Upon full payment, ownership of final, delivered deliverables transfers to the client to the extent agreed in the applicable proposal or contract. We retain rights to any underlying tools, templates, or pre-existing intellectual property, and the right to display completed work in our portfolio unless otherwise agreed in writing.

6. Limitation of Liability

To the maximum extent permitted by law, Spartan Blackout Services shall not be liable for any indirect, incidental, or consequential damages arising from your use of the services. Our total liability for any claim is limited to the amount you paid us for the services giving rise to the claim.

7. Termination

We may suspend or terminate your access to the portal if you breach these Terms. Upon termination, your right to use the portal ceases, but any provisions that by their nature should survive (such as payment and liability) remain in effect.

8. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes will be resolved in the courts located in Harris County, Texas.

9. Changes to These Terms

We may revise these Terms at any time. Continued use of the portal after changes are posted constitutes your acceptance of the updated Terms.
